The paper considers problems of managing the changes in large Croation companiesaimed to establishing their ability for organizational adjustment to great challenges inbusiness environment, caused by active integration of Croatia into the process ofglobalization. The first part of paper analyzes main factors of globalization process andtheir influence to business organization and management system of contemporary company.When imperative of managing the changes is explained, it is given a survey of already known theoretical comprehensions form observed sphere. Furthermore is defined and described by theoretical model, the concept of organizational potential for managing the changes, which is the basis for empirical research implementation. The second part shows substantial and methodological characteristics and research results of competencies of our large companies for managing organizational changes. As a whole, the conclusions of research point out inadequate capability level of our large companies to undertake complex organizational changes, and within analysis of particular components of organizational potential they point out spheres with specially low capacity levels for managing the changes.
